By accessing the website, submitting an RFQ or purchase order, making payment, or accepting delivery, you agree to these Terms and our Privacy Policy.

We may add, modify, suspend or discontinue website features and services from time to time. Unless expressly stated otherwise, these Terms apply to all such changes. If you have questions, please contact info@icsmooth.com.

I. Prices

ICSmooth may change published or quoted prices at any time before an order is accepted. Unless otherwise stated, written quotations are valid for fifteen (15) calendar days from the date of issue and remain subject to availability, prior sale, supplier confirmation, market changes and final verification.

Prices may be adjusted if the requested specifications, quantities, delivery arrangements, taxes, currency, supplier costs or other transaction terms differ from those used in the original quotation. If no price has been expressly confirmed, the applicable price will be the price stated by ICSmooth at the time the order is accepted.

Unless expressly included, prices exclude freight, insurance, customs duties, import taxes, value-added tax, bank charges, inspection fees and similar governmental or third-party charges. Buyer is responsible for all such amounts.

II. Order Validation

Before processing an order, ICSmooth may verify payment details, billing and shipping addresses, company information, end user, end use, destination and other information reasonably required for fraud prevention, export control, sanctions screening, customs or legal compliance.

ICSmooth may decline, limit, suspend or cancel an order if product information is incorrect, stock is unavailable, supplier pricing changes materially, payment cannot be verified, a website or quotation error has occurred, or the transaction may violate applicable law. Where reasonably possible, ICSmooth will contact Buyer using the details provided and may offer a revised quotation or cancellation and refund of amounts paid for undelivered Products.

An order becomes binding only when ICSmooth issues a written sales confirmation, accepts payment, or ships the Products, whichever occurs first. The sales confirmation, these Terms and any expressly incorporated document constitute the complete agreement for that order. Confirmed orders are non-cancellable and non-returnable (NCNR), unless ICSmooth agrees otherwise in writing or these Terms expressly provide a return remedy.

III. Shipping Charges and Delivery

Shipping charges are not included in the Product price unless expressly stated. Available shipping methods and costs depend on destination, Product type, value, weight and service level. Buyer is responsible for import licences, duties, tariffs, taxes, customs charges and local fees.

Delivery terms will be interpreted under Incoterms® 2020 and are as stated in the sales confirmation. If no Incoterm is stated, delivery is EXW ICSmooth's designated facility (Incoterms® 2020). Risk of loss passes according to the applicable Incoterm. Title passes only after full payment, to the extent permitted by law.

Delivery and shipment dates are estimates only and are not guaranteed. ICSmooth may make partial shipments. An order is fulfilled only with respect to Products actually shipped, and delay in one shipment does not entitle Buyer to cancel other shipments.

IV. Cancellations, Inspection and Returns

Buyer may not cancel an accepted order without ICSmooth's prior written consent and reimbursement of all resulting costs, commitments, price differences, restocking charges and losses.

Products may not be returned for convenience without prior written approval. ICSmooth will review substantiated claims that Products are incorrect, damaged in transit, materially nonconforming or defective. If a claim is validated, ICSmooth may, at its option, repair or replace the affected Products, issue credit, or refund their purchase price.

Buyer must inspect Products promptly after delivery. Claims for shortages, visible damage or incorrect Products must be submitted in writing within five (5) business days after delivery. Claims for latent nonconformity must be submitted within thirty (30) calendar days after delivery, unless a different warranty period is confirmed in writing. Failure to give timely notice constitutes acceptance to the extent permitted by law.

No Product may be returned without a Return Material Authorization (RMA) issued by ICSmooth. A return request must include the invoice number, part number, lot or date code, affected quantity, photographs, test data and a clear description of the issue. Authorized returns must be sent freight prepaid, unless otherwise agreed, in original packaging with all labels and packing materials.

Returned Products must have been purchased from ICSmooth and must not be counterfeit, substituted, altered, programmed, soldered, burnt, scratched, mishandled or otherwise used, except to the minimum extent reasonably necessary for authorized testing. Products that are not eligible for return may be returned to Buyer at Buyer's expense. Contact info@icsmooth.com before shipping any return.

V. Force Majeure

ICSmooth is not liable for delay or failure caused by events beyond its reasonable control, including natural disaster, fire, epidemic, quarantine, war, terrorism, civil unrest, labour dispute, transportation disruption, cyber incident, utility failure, supplier shortage, allocation, obsolescence, material shortage, governmental action, export restriction, sanctions or change in law.

The time for performance will be extended for the duration of the event. ICSmooth may allocate available supply among customers or cancel the affected order or remaining quantity without liability, except that ICSmooth will refund amounts paid for Products not delivered.
